Effective Date January 1st, 2026. These Terms of Service constitute an agreement applicable to access to www.taskcontrol.net and use of TaskControl services, consulting services, software, cloud systems and other products. This is a legally binding agreement between the User and TaskControl.
APPLICATION AND ACCEPTANCE OF THE TERMS
1.1 Your use of the Site and TaskControl’s Services is subject to the terms and conditions contained in this document, the Privacy Policy and any other rules and policies of the Site that we may publish from time to time, as well as any additional agreement. This document and such other rules and policies of the Site are collectively referred to below as the “Terms”. By accessing the Site or using the Services, you agree to accept and be bound by the Terms. Please do not use the Services or the Site if you do not accept all of the Terms.
1.2 You may not use the Services and may not accept the Terms if (a) you are not of legal age to form a binding contract with TaskControl, or (b) you are not permitted to receive any Services under the laws of Argentina or other countries / regions including the country / region in which you are resident or from which you use the Services.
1.3 You acknowledge and agree that TaskControl may amend any Terms at any time by posting the relevant amended and restated Terms on the Site. By continuing to use the Services or the Site, you agree that the amended Terms will apply to you.
1.4 If we posted or provided a translation of the Spanish language version of the Terms, you agree that the translation is provided for convenience only and that the Spanish language version will govern your uses of the Services or the Site.
1.5 You may be required to enter into a separate agreement, whether online or offline, with TaskControl or our affiliate for any Service (“Additional Agreements”). If there is any conflict or inconsistency between the Terms and an Additional Agreement, the Additional Agreement shall take precedence over the Terms only in relation to that Service concerned.
PROVISION OF SERVICES
2.1 TaskControl that you are contracting with is registered in Juramento 4630 Dept. “2”, 1431 Capital Federal, Buenos Aires, Argentina, who you agree may invoice you for their part of the Services.
2.2 You must register on the Site in order to access and use some Services. Further, TaskControl reserves the right, without prior notice, to restrict access to or use of certain Services (or any features within the Services) subject to any condition that TaskControl may impose in our discretion.
2.3 No warranty or representation is given that a particular Service or feature or function thereof or the same type and extent of the Service or features and functions thereof will be available for Users. We may in our sole discretion limit, deny or create different level of access to and use of any Services (or any features within the Services) with respect to different Users.
2.4 TaskControl may launch, change, upgrade, impose conditions to, suspend, or stop any Services (or any features within the Services) without prior notice except that in case of a fee-based Service, such changes will not substantially adversely affect the paying Users in enjoying that Service.
USERS GENERALLY
3.1 As a condition of your access to and use of the Site or Services, you agree that you will comply with all applicable laws and regulations when using the Site or Services.
3.2 You agree that (a) you will not copy, reproduce, download, re-publish, sell, distribute or resell any Services or any information, text, images, graphics, video clips, sound, directories, files, databases or listings available on or through the Site (the “Site Content”), and (b) you will not copy, reproduce, download, compile or otherwise use any Site Content or Services for the purposes of operating a business that competes with TaskControl, or otherwise commercially exploiting the Site Content or Services. Systematic retrieval of Site Content to create or compile a collection, compilation, database or directory without written permission from TaskControl is prohibited.
3.3 You must read TaskControl’s Privacy Policy which governs the protection and use of personal information about Users in the possession of TaskControl and our affiliates. You accept the terms of the Privacy Policy and agree to the use of the personal information about you in accordance with the Privacy Policy.
3.4 You agree not to undertake any action to undermine the integrity of the software, computer systems or networks of TaskControl and/or any other User nor to gain unauthorized access to such computer systems or networks.
3.5 By posting or displaying any information, content or material (“Public User Content”) on the Site or providing any Public User Content to TaskControl or our representatives, you grant an irrevocable, perpetual, worldwide, royalty-free, and sub-licensable license to TaskControl to display, transmit, distribute, reproduce, publish, duplicate, adapt, modify, translate, create derivative works, and otherwise use any or all of the User Content in any form, media, or technology for any purpose beneficial to the operation of the Site or provision of Services. You confirm and warrant that you have all rights, power and authority necessary to grant this license.
USER ACCOUNT
4.1 User must be registered on the Site to access or use some Services. Except with TaskControl’s approval, one User may only register one account on the Site. TaskControl may reject User’s application for registration for any reason.
4.2 Upon registering on the Site, TaskControl will assign an account to which User may enter with his or her email and password.
4.3 Each User shall be solely responsible for maintaining the confidentiality and security of the password and all activities that occur in the account. No User may share, assign or permit use of the User account or password. The User agrees to notify TaskControl immediately of unauthorized use or any other account security breach.
4.4 All activities that occur under your account, including posting or uploading information, accepting agreements, subscribing to or paying for Services, will be deemed authorized by the User.
4.5 Sharing an account or allowing multiple users to use an account may cause irreparable harm to TaskControl or other Users. User shall indemnify TaskControl and related parties against loss or damages resulting from multiple use. TaskControl may suspend or terminate the account without liability.
4.6 If a User account is inactive for 30 calendar days, it may be disabled and cannot be retrieved without a specific request to TaskControl.
USER’S RESPONSIBILITIES
5.1 Each User represents, warrants and agrees that the User has full power and authority to accept the Terms, grant authorization and perform the obligations hereunder.
5.2 Information submitted during registration or use of the Services must be true, accurate, current and complete, and the User must maintain and promptly amend such information.
5.3 Each User is solely responsible for obtaining necessary third-party licenses and permissions regarding Public User Content and warrants that such content does not violate third-party rights.
5.4 Public User Content must be true, accurate, complete and lawful; must not be false, misleading, defamatory, threatening, discriminatory, obscene or harmful to minors; and must not violate applicable laws, agreements or policies.
5.5 Users must comply with applicable laws and these Terms; must not defraud, impersonate, spam, phish, introduce destructive code, undermine data or systems, gain unauthorized access, or create liability for TaskControl.
5.6 User may not use the Services and User account to engage in activities identical or similar to TaskControl’s marketplace business.
5.7 TaskControl does not endorse, verify or certify User comments or information. Each User is solely responsible for the content of communications.
5.8 Each User is solely responsible for observing applicable laws and regulations in the relevant jurisdiction.
BREACHES BY USERS
6.1 If a User breaches the Terms, or TaskControl has reasonable grounds to believe a breach occurred, TaskControl may suspend or terminate accounts and subscriptions, restrict or downgrade access, impose restrictions, or take other corrective actions.
6.2 A User may be considered in breach where TaskControl reasonably suspects use of stolen payment information, provision of false or misleading information, or actions likely to cause financial loss or legal liability.
6.3 TaskControl may cooperate with governmental authorities, private investigators and injured third parties and may disclose User identity and contact information as required by government request, subpoena or other legal action.
6.4 TaskControl may limit, suspend or terminate use of the Services or Site where a breach involves suspected dishonest or fraudulent activity.
6.5 Each User agrees to indemnify and hold harmless TaskControl and related parties from damages, losses, claims and liabilities arising from use of the Services, User Data, Site, or breach of the Terms.
6.6 TaskControl is not responsible for User Content or other material transmitted over the Site or Services, including fraudulent, misleading, defamatory, offensive or illicit material.
SERVICES
7.1 During the Term, User may access and use the Services pursuant to any outstanding order and TaskControl policies posted on the Site.
7.2 User may reproduce and use TaskControl’s standard manuals solely as necessary to support use of the Services.
7.3 User must pay the fee established in each Order for each Term. Subscription Fees are non-refundable.
7.4 TaskControl may revise the functions of the Services at any time, including modification or deletion of features or reduction of service levels.
USER DATA
8.1 Unless it receives User’s prior written consent, TaskControl shall not access, process or use User Data other than as necessary to facilitate the Services and shall not intentionally grant third-party access except to subcontractors subject to reasonable confidentiality obligations. TaskControl may disclose User Data as required by applicable law or proper authority.
8.2 User recognizes that hosting data online involves risks of unauthorized disclosure or exposure and assumes such risks. TaskControl offers no guarantee that User Data will not be exposed through errors or actions of third parties.
8.3 TaskControl has no responsibility or liability for the accuracy of data uploaded by User.
8.4 TaskControl may permanently erase User Data if the account is delinquent, suspended, deactivated or terminated for 30 days or more.
CONFIDENTIAL INFORMATION
9.1 “Confidential Information” includes documents marked confidential, information designated confidential and confirmed in writing, Documentation, and other nonpublic sensitive information reasonably considered confidential. It excludes information already possessed, independently developed, publicly known through no improper act, or approved for release.
9.2 User shall use Confidential Information only to use the Services and shall not disclose it except to employees or contractors who need access and are bound by confidentiality obligations, or with TaskControl’s prior written consent. User must protect it with at least reasonable care and promptly notify TaskControl of misuse.
9.3 User agrees that breach of this Article may cause irreparable injury and TaskControl may seek injunctive relief.
9.4 This Agreement does not transfer ownership of Confidential Information or grant a license. TaskControl retains all rights.
SUPPORT
10.1 Support services via email and chat from the Site may be covered by this Agreement.
10.2 User responsibilities may include payment of support costs and an adequate description of the issue or request.
10.3 Email support is monitored from 9:00 a.m. to 5:00 p.m., Monday through Friday, Argentine time (GMT-3). Messages received outside office hours are collected, but action cannot be guaranteed until the next working day.
LIMITATION OF LIABILITY
11.1 USER ACCEPTS THE SITE AND SERVICES “AS IS” AND AS AVAILABLE, WITH NO REPRESENTATION OR WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. TASKCONTROL DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE PERFORMANCE OR SECURITY FROM UNAUTHORIZED INTRUSION.
11.2 Material downloaded or otherwise obtained through the Site or Services is obtained at the User’s sole discretion and risk.
11.3 The Site may make available services or products provided by independent third parties. TaskControl does not control and is not liable for such third parties.
11.4 Each User agrees to indemnify and hold harmless TaskControl and related parties from losses, claims and liabilities arising from use of the Site or Services or breach of the Terms.
11.5 TaskControl is not responsible for material uploaded by Users.
11.6 TaskControl shall not be liable for special, direct, indirect, punitive, incidental or consequential damages, loss of profits, business interruption, loss of information, defects in data or services, third-party rights claims, unauthorized access, User statements or conduct, or other matters relating to Services.
11.7 Aggregate liability for claims arising from use of the Site or Services during any calendar year is limited to the amount of fees paid to TaskControl during that year. Claims must be filed within one year from the date the cause arose or any longer period required by law.
11.8 Limitations and exclusions apply to the maximum extent permitted by law.
11.9 TaskControl does not guarantee that Services will function on particular hardware or devices. User is responsible for compatible hardware, software and network access.
11.10 User shall defend, indemnify and hold harmless TaskControl against third-party claims arising from use or misuse of Services, disclosure of private information, intellectual property infringement, harassment, defamation, fraud or legal violations.
TERM & TERMINATION
12.1 The Term begins on the Effective Date and continues for the period set forth in the Order, renewing for successive subscribed periods unless either party refuses renewal by written notice at least 30 days before the renewal date.
12.2 Either party may terminate for material breach by written notice, effective in 30 days unless the breach is cured.
12.3 Upon termination, User shall cease use of the Service and delete, destroy or return all copies of Documentation. Payment, intellectual property, confidentiality, limitation of liability, indemnification and provisions that must survive will remain effective.
FEES AND PAYMENT
13.1 Rights and privileges under these Terms are subject to payment of applicable fees. TaskControl may provide Services free of charge or elect to offer similar Services for a fee.
13.2 Payment for Services shall be at prices agreed between User and TaskControl. Service Plan payments are made in advance and are non-refundable.
13.3 Cancellation before the end of a subscription period does not eliminate responsibility for applicable fees for the remainder of the period. Fees exclude applicable taxes, levies and duties.
13.4 In case of non-payment, TaskControl may immediately bar User access to the Services.
SOFTWARE
14.1 TaskControl may offer software for use with the Services. Such Software is licensed subject to the applicable End User License Agreement and is copyrighted by TaskControl.
14.2 Except as expressly authorized, User may not use, copy, republish, frame, emulate, clone, download, transmit, rent, lease, loan, sell, assign, modify, distribute, sublicense, decompile, disassemble, reverse engineer or transfer the Software, Website or Services.
14.3 TaskControl disclaims further representations and warranties, including merchantability, fitness for a particular purpose and non-infringement. TaskControl does not warrant that Software or Services will meet requirements or be uninterrupted, timely, secure or error-free.
14.4 Services and Software may be updated and modified from time to time, including bug fixes, enhanced functions, new modules, interface changes and regulatory changes. User agrees to receive such updates.
FORCE MAJEURE
15.1 TaskControl shall not be liable for delay, failure or disruption resulting from causes beyond reasonable control, including Internet or equipment failures, electrical failures, labor disputes, civil disturbances, shortages, fires, floods, storms, explosions, acts of God, war, governmental actions, court orders or non-performance of third parties.
INTELLECTUAL PROPERTY RIGHTS
16.1 TaskControl is the sole owner or lawful licensee of rights and interests in the Site, Site Content, Services and features. All title, ownership and intellectual property rights remain with TaskControl, affiliates or licensors.
16.2 “TaskControl” and related icons and logos are registered trademarks or service marks of TaskControl. Unauthorized copying, modification, use or publication is prohibited.
16.3 Users may not use third-party trademarks, service marks or logos without prior written approval.
NOTICES
17.1 Legal notices or demands to TaskControl must be made in writing and sent to TaskControl, Juramento 4630 Dpto. “2”, 1431, Capital Federal, Buenos Aires, Argentina.
GENERAL PROVISIONS
18.1 Subject to Additional Agreements, these Terms constitute the entire agreement governing use of the Site and Services.
18.2 TaskControl and User are independent contractors. No agency, partnership, joint venture, employment or franchise relationship is created.
18.3 If any provision is invalid or unenforceable, it will be removed and remaining provisions remain valid.
18.4 Headings are for reference only.
18.5 Failure by TaskControl to enforce a right or act regarding a breach does not constitute waiver.
18.6 TaskControl may assign the Terms. User may not assign them without authorization.
18.7 The Terms are governed by the laws of Argentina. User consents to exclusive jurisdiction and venue in Capital Federal, Buenos Aires, Argentina.
18.8 Feedback may be used by TaskControl without restriction to improve products and services.
18.9 User grants permission to include the User’s name, logos and trademarks in promotional and marketing materials and communications.
18.10 TaskControl may offer beta versions or features. TaskControl determines availability, duration, features and continuation. Beta information is Confidential Information; Users may not benchmark, publicly disseminate performance information, modify or create derivative works, remove proprietary notices, or allow others to access Beta Services.
